Clutch adjustment 38 V127

The clutch on my V12 does not engage until it is less than 1/2
inch from the top of its travel. It does not slip or chatter this usually means you need to loosen the clutch adjustment rod so you have more free play. When you do this the clutch does not engave properly and the gears grind when you shift gears. Is this an indication of the clutch disc being worn out? I do not hear the throwout bearing making any noise at either adjustment point. I think the pressure plate is ok.
Any ideas what is going on?
