Externally they are the same and are interchangeable. Internally the valving is different which bound/rebound action. Which is usually based on the vehicle weight.
So a light base business coupe would have completely different valving specs then a heavy loaded custom sedan would. Like I said they will all bolt up and if that's the only option you had, wrong valving is better that a dead shock.

Awesome. Thanks, Kev - exactly what I needed to know. Would guess the 2302 shocks are probably heavier duty for the added weight of the Ultramatic. Will try to chase down the right set.
