Yes.
About the only difference is the front engine mount which must be from the 37.
And so will a Jag 6.
Jag V12 will not fit.

The Jag XK Straight Six is NOT a direct bolt-in, though.

The 37 Six is 237 cu. in. and the 40 is 245 cu. in. plus better oiling system and sealed bearing water pump. Horsepower is the same.

The only part that is maybe a problem,though easily fixed, is the fan may have longer blades than the original fan. As was the case, using a 47 six cyl. engine in my 115c.
