There should be no problem putting that engine into your car and remember that if you do any work on it to refer to the shop manual for the appropriate year. For example, the rod bolts might have a larger thread and a higher specified torque than the original 1940 engine.
In case it doesn't work out, I have an early production 1940 110 engine available that needs re-assembly after being partially rebuilt.

Thanks guys--
Picked it up (along with wheels, hubcaps, mounts and some other odds and ends) this afternoon. The guys had thoughtfully taken video of the engine running last weekend, looked and sounded good other than a noisy water pump, engine was nice and smooth. Oil pressure at 35-40psi, compression at 90-95 across all cylinders. We.shall.see.

Shouldn't be a problem at all. Back in the early 1980's we stuck a '53 or '54 Packard 8 in my boss's '34 Packard sedan and I don't recall doing many mods at all to get it in there.
That car ran great and turned into his primarly longer-distance tour car because of the later motor and a bit more horsepower. Ran great and only the Packard faithful ever knew it wasn't the original engine.

One thing to consider is how is your car registered? If it is by the engine number, then something will need to be done to get it registered correctly if you use the later engine.
